Securitas acquires Turkish security company

Securitas, a world leading intelligent protective services partner, has agreed to acquire Tepe Güvenlik A.S., a leading electronic security company in Turkey.

Through this acquisition, Securitas becomes number two in the monitoring market in Turkey, and the acquisition is in line with the Group’s strategy of doubling its security solutions and electronic security sales by 2023. The purchase price is approximately MEUR 10 (MSEK 100) on a debt-free basis.

In 2020, Tepe Güvenlik’s annual sales were approximately MEUR 8.5 (MSEK 85), of which more than 70 percent were on a recurring monthly revenue basis. The company has 250 employees and operations mainly in Ankara and Istanbul, including an operation centre and a nationwide technical service network. Tepe Güvenlik specialises in electronic security solutions, alarm systems and alarm monitoring for corporate clients, SME’s and residentials. The company has more than 50 000 connections, representing a significant addition to Securitas’ existing connection base in Turkey today.

The acquisition-related costs are expected to be approximately MSEK 13, to be recognised in the period 2021 to 2023. The acquisition is expected to be accretive to EPS as of 2023. The acquisition is subject to approval from competition authorities and is expected to be finalised during the third quarter of 2021.

Teledyne Completes Acquisition of FLIR

Teledyne Technologies Incorporated announced today the successful completion of the acquisition of FLIR Systems, Inc. At each of the respective company’s special meeting of stockholders held on May 13, 2021, the stockholders approved and adopted merger proposals related to the Agreement and Plan of Merger dated January 4, 2021. FLIR will now be included in Teledyne’s Digital Imaging segment and operate under the name Teledyne FLIR.

Under the terms of the agreement, FLIR stockholders received $28.00 per share in cash and 0.0718 shares of Teledyne common stock for each FLIR share, which implies a total purchase price of approximately $57.40 per FLIR share based on Teledyne’s closing price on May 13, 2021. The aggregate consideration for the transaction was approximately $8.2 billion, including net debt. Previously, Teledyne secured all permanent cash financing for the transaction with a weighted average borrowing cost of less than two percent.

Teledyne expects the acquisition to be immediately accretive to earnings, excluding transaction costs and purchase price accounting, and accretive to GAAP earnings in the first full calendar year following the acquisition.

Simultaneously, Teledyne announced the following executive promotions, effective today. Edwin Roks, current Vice President of Teledyne and President of Teledyne’s Digital Imaging Segment, is now Executive Vice President of Teledyne. Edwin will continue to serve as President of Teledyne’s Digital Imaging Segment, which now includes Teledyne FLIR. In addition, Todd Booth is promoted to Senior Vice President and Chief Financial Officer for the acquired Teledyne FLIR group of businesses.

Hikvision announces technology partnership with Yeastar for IP-based video intercom integration

Discover Hikvision’s latest ColorVu technology: even sharper imaging with brighter color, 24 hours a day

Traditional video cameras provide black and white images, which can be grainy and unclear in low-light environments. To help boost security 24×7, Hikvision has created its ColorVu technology, which gives organizations high-resolution, full-color images, even in near-total darkness.

Security breaches are not governed by the seasons, by the weather, and certainly not by the time of day. They can occur at any time, and often under the cover of darkness when traditional, black-and-white security cameras with infrared lighting are unable to capture events clearly enough to collect clear evidence or respond effectively.

Hikvision has expanded its full-color camera range with ColorVu technology. This offers a much better visual experience than traditional cameras, providing accurately rendered color images with balanced brightness at all times of the day or night. Now the camera range with ColorVu technology includes 4k cameras for UHD experience, and varifocal cameras for unparalleled clarity. Boosting security with leading-edge technology
Cameras with ColorVu technology are able to capture high-definition, full-color images in low light conditions because of two key technology breakthroughs: advanced F1.0 large apertures, and high-performance imaging sensors. The cameras also use a new 3D dynamic noise reduction (DNR) algorithm to increase clarity at long range, and a soft and warm supplemental light guarantees colorful images even in zero-light environments.

Pyronix refreshes brand and celebrates 35 years

Securitas acquires Protection One in Germany

Securitas has agreed to acquire Protection One, the German market leader specialising in remote technology-driven security solutions and electronic security.

The acquisition will enhance Securitas’ protective services capabilities in Germany and is in line with the Group’s strategy of doubling its security solutions and electronic security sales by 2023. The purchase price is approximately MEUR 72 on a debt-free basis.

In 2020, Protection One’s annual sales were more than MEUR 33, of which over 90 percent were on a recurring monthly revenue basis. The company has 230 employees in Germany and is present at 12 locations with the operation centre based in Meerbusch, offering remote monitoring services with 24/7 real-time intervention. Combining its high-performance and tailor-made installation offering, the company provides full scope of electronic security services across 10 300 objects for approximately 7 000 clients, mainly small and medium-sized businesses.

MADE EXPO, SICUREZZA AND SMART BUILDING EXPO TOGETHER AT FIERA MILANO: THREE PROJECTS, ONE SINGLE GOAL

Digitisation and sustainability, the two pillars of the Italian Recovery Plan, are at the center of the three events that this upcoming November will offer a comprehensive preview of the materials, technologies and regulations for the building and urban sector.

Milan, 12 July 2021 – The same inauguration date, one admission ticket valid for all events, but, above all, the same goal: working as a team, exploiting potential synergies, and meeting the needs of companies and sector’s operators, especially international buyers who are more interested than ever in optimising time and resources at this particular time.

This is what MADE expo, the leading event in Italy for the construction sector; SICUREZZA, the biennial international event in the security & fire; and SMART BUILDING EXPO, the home and building automation and technological integration expo, will present to the market in an unprecedented combo events. In fact, all of three will start simultaneously at Fiera Milano (Rho) on 22 November 2021.
